This license consists of the right for Licensee to use, access, run, or otherwise interact with the SaaS within the scope of the license granted and in accordance with this Agreement and related Documentation. Except as explicitly set forth above, Licensee may not reproduce the SaaS or any portion thereof.
Licensee may specify certain Active Users as "Administrators" and "Emergency Access" through the administrative console of their SaaS site. Administrators and Emergency Access users with certain controls may have the ability to create, disable, modify, and manage user accounts, as well as access to the Licensee SaaS site.
2.2 Renewal
Unless notice of intent, either by written request to Rally Dues or by the administrator's action within the SaaS not to renew, is given by either party at least thirty (30) days before the end of the then-current term, the subscription plan term of this Agreement will automatically renew for 6 months. 2.3 Changes, Updates, and Upgrades

Customers' use of such third-party software, products, services, or content is subject to the terms and fees of the third-party provider. Changes to the third-party software, products, services, or content may change how the SaaS operates.
2.5 Marketing
Licensee agrees that Rally Dues may use the Entity's name and logo in lists of customers on Rally's Dues website, including marketing materials. Rally Dues agrees to remove the Entity's name from their website and marketing materials within 20 days of receiving a written request.
2.6 Verification
To ensure compliance with the terms of this Agreement, Rally Dues or its designated representative shall have the right during regular business hours, exercisable upon reasonable notice, to conduct an inspection and audit of Licensee's records of SaaS use, and to obtain such other information as necessary to confirm the information contained in the records of use (collectively, a "verification"). All such information obtained by Rally Dues shall be maintained in strict confidence and shall not be used for any purpose other than to evaluate Licensee's compliance with this Agreement.
3. Fees and Funds
3.1 Subscription Plan Fees
In consideration of the provision of Subsection 2 by the Agreement, Licensee shall pay to Rally Dues the published Subscription Plan Fees, one-time activation service fee, and billing terms set forth on the Rally Dues website or a created proposal by Rally Dues. The Rally Dues SaaS is delivered through registration and login instructions. The Licensee agrees to pay the published electronic processing fees (e.g., credit cards, debit cards, ACH, Google Pay, etc.), including transaction fees, chargeback fees, non-sufficient funds transaction fees, and any other fees associated with electronic payment methods.
If you provide an automatic electronic payment method, you agree and authorize Rally Dues to charge your preferred electronic payment account for all fees, including processing fees for your Subscription Plan and any other fees incurred, without separate notice. You are also providing your express consent to use your preferred payment method for future one-time online payments, unless you change it. Your authorization to Rally Dues and its third parties extends to any bank account that you link to Rally Dues SaaS (i.e., any User Bank Account).
Rally Dues is not liable for losses due to fraudulent transactions or system outages beyond its control. Certain payment processing services may involve regulated money transmission under U.S. Law. If payments are not received by Rally Dues when due, Rally Dues may charge interest on any unpaid amounts at a rate of 1.5% per month, or, if lower, the maximum amount permitted under applicable law, from the date the payment was due until the date paid.
Rally Dues reserves the right to suspend or terminate this Agreement and your access to the Rally Dues SaaS until payment has been made in full if the Licensee's account goes more than 10 days past the payment due date. No credits will be issued for unavailable service caused by late payment. If Rally Dues initiates termination of this Agreement due to non-payment or other breach of this Agreement, you will be obligated to pay the balance due on your account.
Data exports require all outstanding payment balances, including any invoice for export requests, to be paid in full before data is delivered or destroyed. Rally Dues reserves the right to place the following message online: "This account is PAST DUE. Contact Rally Dues to avoid service interruption."
If a new Member is added during a Subscription term, the Member fee of the Subscription Plan is prorated for the portion of the underlying Subscription Plan term remaining at the time the Member is added, or the current Subscription renewal end date.
You acknowledge that Rally Dues may change its Subscription Plan fees and/or fee structures for the SaaS from time to time in its discretion, including instituting fees or use of third-party software, products, services, and content. Rally Dues will post notice of such changes on your registered account site. The price changes to your paid Subscription Plan will be effective as of your next Subscription Plan renewal. Rally Dues shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the SaaS application.
3.2 Professional Services
The Licensee and Rally Dues may enter into a Statement of Work proposal that describes the specific Professional Services with associated costs to be performed by Rally Dues. All Professional Service fees and any related charges shall be payable within thirty (30) days of the date of Rally Dues' invoice. Rally Dues retains all rights and interest in and to any work product, code, deliverables, and any derivative, enhancement thereof created by or on behalf of Rally Dues.
3.3 Taxes
Rally Dues will add any applicable sales, use, excise, or any other form of taxes through a 3rd-party taxation application imposed by any United States federal, state, provincial, or local government entity, excluding any taxes based on Rally Dues income. The Entity will be responsible for all sales, use, excise, or any other form of taxes resulting from the Entity's use of Rally Dues' SaaS, unless the Entity provides Rally Dues with a valid tax exemption certificate (e.g., 501(c)(7) social club) authorized by the appropriate taxing authority. Rally Dues will remit such taxes to the appropriate taxing authorities.

You may add funds to accounts you maintain with Rally Dues SaaS from User Bank Accounts or through one or more methods. To the maximum extent permitted by law, in no event shall Rally Dues's aggregate liability arising out of or related to this Agreement, whether in contract, tort, or otherwise, exceed the fees required to be paid by Licensee for the Subscription Plan of the SaaS and any Professional Service fees paid by Licensee for the current period.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RALLY DUES AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL OTHER REPRESENTATION, WARRANTIES OR CONDITIONS, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES AND CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY, SECURITY, RELIABILITY AND NONINFRINGEMENT. VII. DISPUTE RESOLUTION AND GOVERNING LAW, JURISDICTION, AND COSTS
1.1 Governing Law; Venue; Attorney's Fees
These Terms and the transactions contemplated hereunder shall be governed, interpreted, construed, enforced, and performed in accordance with the laws of the State of Arizona without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the State of Arizona. Any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted in a state court located in the State of Arizona in the County of Maricopa. Each party irrevocably submits to the exclusive jurisdiction of such courts and unconditionally waives any objection to the laying of venue in such courts and irrevocably waives and agrees not to plead or claim in any such court that any such suit, action, or proceeding brought in any such court has been brought in an inconvenient forum. If any action, suit, or other legal or administrative proceeding is instituted or commenced by either party hereto against the other party arising out of or related to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and related litigation expenses from the non-prevailing party.
1.2 Dispute Resolution
To the extent feasible, the parties desire to resolve any dispute, claim or controversy arising out of or relating to your use of or access to Rally Dues SaaS, these Terms, or the breach, termination, enforcement, interpretation, or validity of these Terms, including the determination of the scope or applicability of these Terms to arbitration (a "Dispute") through discussions and negotiations between each other. Any election to be arbitrated by one party shall be final and binding on the other. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. The determination of whether a Dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. The AAA Rules shall govern your arbitration fees and your share of arbitrator compensation and, where appropriate, be limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will decide in writing, but is not required to provide a statement of reasons unless requested by one of the parties.
