Terms of Service

By accessing or using RallyDues ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including organization administrators, members, and authorized payers.

RallyDues provides a cloud-based dues management platform that enables organizations to:

• Create and manage member rosters

• Generate and send invoices for dues and assessments

• Accept online payments from members and authorized payers

• Track payment status and send automated reminders

• Generate financial reports and analytics

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

Account Registration: You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Organization Administrators: Administrators are responsible for managing their organization's account, including member data, billing settings, and user access.

Acceptable Use: You agree not to:

• Use the Service for any unlawful purpose

• Violate any applicable laws or regulations

• Transmit any malicious code or interfere with the Service

• Attempt to gain unauthorized access to any systems

• Use the Service to harass, abuse, or harm others

• Misrepresent your identity or affiliation

Subscription Fees: Organizations pay a per-member subscription fee as outlined on our Pricing page. Fees are billed monthly or annually based on your selected plan.

Payment Processing: All payments are processed through Stripe. By using the Service, you agree to Stripe's terms of service.

Processing Fees: Payment processing fees for member transactions are paid by the member or payer, not the organization, unless otherwise configured.

Refunds: Subscription fees are non-refundable except as required by law. Contact support for billing disputes.

Failed Payments: If a subscription payment fails, we may suspend access until payment is received.

Our Property: The Service, including its original content, features, and functionality, is owned by RallyDues and protected by copyright, trademark, and other intellectual property laws.

Your Data: You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely to provide the Service.

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

You may not use the Service:

• To collect payments for illegal activities

• To process payments for prohibited industries (as defined by our payment processor)

• To send spam or unsolicited communications

• To collect excessive fees or engage in predatory practices

• To circumvent any security features

• In any way that could damage, disable, or impair the Service

• To violate any applicable local, state, national, or international law

"As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

No Guarantee: We do not guarantee that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability: To the maximum extent permitted by law, RallyDues shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses.

Maximum Liability: Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless RallyDues and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service

• Your violation of these Terms

• Your violation of any rights of another party

• Any content you submit through the Service

By You: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

By Us: We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We may retain certain data as required by law or for legitimate business purposes.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
